Welcome to US Tech Solution LLC (“Company,” “we,” “our,” or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of our services, including but not limited to software development, web development, mobile app development, game development, UI/UX design, SEO, and digital marketing services.

By engaging our services through phone, email, in-person meetings, or our website https://ustechsolution.us, you agree to be bound by these Terms.

2. Acceptance of Terms

By initiating a project, signing an invoice, paying an advance, or using our services in any capacity, you acknowledge and agree to these Terms. If you do not agree, please do not use our services.


3. Scope of Services

We provide digital solutions, including, but not limited to:

  • Website Development & Maintenance

  • Mobile Application Development

  • Software Development & Automation

  • Game Development

  • UI/UX Design Services

  • Search Engine Optimization (SEO)

  • Digital Marketing & Branding

All services are delivered in accordance with mutually agreed project proposals, invoices, or signed agreements.


4. Project Timelines & Communication

  • Each project will include a clearly defined timeline outlined in the invoice or project agreement.

  • We commit to providing halfway delivery or milestone-based progress updates.

  • In case of any unforeseen delay, we will inform the client at least two (2) weeks before the original completion date.

  • Active communication between both parties is expected to ensure smooth project execution.


5. Payment Terms

  • All projects require a 70% advance payment to initiate work.

  • The remaining 30% is payable upon project completion or before final delivery.

  • Accepted payment methods include Zelle, credit/debit card, and wire transfers.

  • Work on the project will not begin until the advance is received.

  • Late or failed payments may result in suspension or termination of services.


6. Refund Policy

We maintain a fair and transparent refund structure:

  • A full refund of advance payments is available within 2 weeks of the initial transaction if no significant work has been completed.

  • A 50% refund of the advance amount is available between 15 and 30 days, as we have already invested resources in development.

  • No refund will be issued after 30 days of the initial payment.

  • For digital marketing services, once work has started, no refund will be provided under any circumstances, as marketing campaigns involve immediate resource allocation.

  • If we fail to deliver the project due to our own fault or non-performance, a full or partial refund will be discussed based on the actual work completed.

We reserve the right to deny refunds if project delays or cancellations occur due to client inaction, delayed feedback, or lack of communication.


7. Ownership and Intellectual Property Rights

  • Upon full payment of the project, and if the agreement includes sole ownership, all intellectual property rights will be transferred to the client.

  • If the client opts for a limited-use license due to budget agreements, US Tech Solution LLC retains ownership of the intellectual property, with usage rights granted to the client as defined in the contract.

  • We reserve the right to showcase completed projects or components in our portfolio unless a mutual NDA (Non-Disclosure Agreement) is signed.

  • All unpaid work remains the exclusive property of US Tech Solution LLC.


8. Client Responsibilities

Clients agree to:

  • Provide all required content, information, and assets promptly.

  • Maintain clear communication during the project.

  • Make payments according to the agreed terms.

  • Respect project timelines and provide feedback on deliverables.

Failure to meet these responsibilities may result in project delays, additional costs, or termination of services without refund.


9. Limitation of Liability

  • US Tech Solution LLC will not be held responsible for any indirect, incidental, consequential, or punitive damages arising from use of its services.

  • We are not liable for issues caused by third-party platforms, integrations, or hosting services.

  • We are not responsible for any damages resulting from unauthorized modifications or misuse of delivered software or assets after final delivery.


10. Warranties and Support

  • We provide technical support for a reasonable period after project delivery as defined in the project agreement.

  • Any additional maintenance, upgrades, or enhancements beyond the agreed scope will be billed separately.

  • Software or digital solutions are provided “as is,” without guarantees beyond the agreed deliverables.


11. Dispute Resolution

  • All disputes shall be governed by and construed in accordance with the laws of the State of New Jersey, United States.

  • In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiation before pursuing legal action.

  • If unresolved, disputes will be handled in the courts of New Jersey.


12. Chargebacks and Payment Disputes

To protect both parties:

  • Clients must contact us directly at support@ustechsolution.us to resolve any payment disputes before initiating a chargeback.

  • Unauthorized or invalid chargebacks will be treated as a breach of contract and may result in legal action and collection of fees.

  • All project communication and work logs are stored and can be used to support our case in a chargeback dispute.


13. Confidentiality

  • All project-related information shared by the client will be treated as strictly confidential.

  • We will not disclose any sensitive data or business details to third parties without written consent, except as required by law.


14. Termination of Services

  • Either party may terminate the agreement with written notice if the other party fails to meet contractual obligations.

  • Upon termination, all work completed up to that point must be paid for.

  • Any advance refunds will follow the refund policy outlined above.


15. Marketing and Portfolio Use

Unless restricted by a signed NDA, US Tech Solution LLC reserves the right to display non-confidential work in its portfolio, website, or marketing materials to showcase capabilities and experience.


16. Modifications to Terms

We may update or modify these Terms and Conditions at any time without prior notice. Changes will be posted on our website with the updated “Last Updated” date. Continued use of our services constitutes acceptance of the new terms.
